Data conversions Agreement |
MedStar and DrWorks development and implementation teams are adept in performing data conversions of your practice's existing patient information. We have converted data from many existing medical software systems to ease the transition from your existing practice management system to the efficient, new MedStar environment. MedStar and DrWorks conversion process is designed to assure accuracy of data. Our engineers will analyze your practice's demographic data, determine field to be converted to MedStar and DrWorks - map the fields, test the data and load it into MedStar and DrWorks. Our expert conversion processes will allow you to "flip the switch" to move to your new practice management software environment. Your practice won't lose a step when implementing the MedStar system. Patient data will be resident in MedStar and DrWorks to allow you to continue to work smoothly.
MedStar shall deliver to the Client via CD, online or other medium, at its sole discretion. Clients have 5 business days to review the data for accuracy. Should the client identify a problem with the data, Client shall request in writing for MedStar to address the problem. Failure to notify MedStar within 5 business days after delivery of the converted data will be deemed as approval by the Client of conversion.
Failure by Client to pay MedStar for the above services when due may result additional fees, attorneys fees, court charges and collection charges. Late fees may incur a charge of 20%.
If any provision of this agreement is held unenforceable, the enforceability of the remaining provisions shall in no way be affected or impaired.
To the maximum extent permitted by applicable law, in no event will MedStar be liable for any damages, including lost profits, lost savings, or other incidental or consequential damages, arising out of the use or inability to use the program., or the validity of the data converted, even if MedStar or a dealer authorized by MedStar had been advised of the possibility of such damages.
This agreement shall be governed by the laws of the State of Florida. The prevailing party will be entitled to recover all reasonable attorneys fees and cost in connection with any litigation, regulatory investigation or inquiry that may arise due to defaults of this agreement by the other party. This agreement supersedes all proposals, oral or written, and all other communications between the parties relating to the engaged subject matter.
